These Terms of Service ("Terms") govern your access to and use of the AI Scan website and diagnostic service (the "Service"), provided by UAB "Taikomasis dirbtinis intelektas" (company code 304845429) ("AAI Labs," "we," "us"). By setting up a scan or otherwise using the Service, you agree to these Terms on behalf of the organisation you represent (the "Client").
Authority. By accepting these Terms, you confirm you are authorised to enter into them on behalf of the Client. If you do not have that authority, do not use the Service.
Related documents. Your use of the Service is also governed by the AI Scan Privacy Policy, and, for the processing of personal data, the AI Scan Data Processing Agreement, both incorporated into these Terms. Where the Data Processing Agreement addresses the processing of personal data, it governs.
The Service
AI Scan is a diagnostic service. An AI agent ("the agent") interviews a Client's employees about their daily work, and we synthesise those conversations into a report identifying where AI and process improvements could help. Where the Client separately enables them, the Service may also draw on internal organisational material through the optional Context Layers, governed by the Data Processing Agreement. The Service is a diagnostic engagement resulting in a report delivered on our platform; it does not include building, implementing, or maintaining any solution.
Accounts
Client representatives may need an account to set up a scan or access the report platform. You are responsible for keeping your credentials secure and for activity under your account. Accounts are for the Client organisation's business use only.
Ordering, fees and payment
The scope of a scan (including the number of participants and features included) and its price are as presented at the point of purchase or in a separate order agreed with us. Where you purchase online, our order process is conducted by our online reseller and merchant of record, Paddle.com Market Limited and its affiliates ("Paddle"). This means Paddle, not AAI Labs, is the merchant of record for your purchase: Paddle handles the transaction, takes payment at the point of order, and issues your receipt, and we do not receive or store your card details. Your online purchase is therefore also subject to Paddle's buyer terms and privacy notice. For payment or billing queries, and for refunds handled in line with our Refund Policy, you may contact us or Paddle.
Unless stated otherwise at purchase or in a separate order, fees are non-refundable once a scan has begun (that is, once the agent has started contacting participants). Before a scan has begun, you may cancel for a full refund.
Client responsibilities
The Client is responsible for:
- choosing which employees are invited to participate;
- informing participants about the scan and ensuring an appropriate lawful basis for it, and completing any employee-representative or works-council consultation required by applicable law;
- where it enables a Context Layer, making the confirmations required in the Data Processing Agreement and designating the material in scope;
- using the report and its recommendations in line with applicable law.
Participation by employees should be voluntary, and the Client should not use the Service to evaluate, monitor, or penalise individuals.
Acceptable use
You agree not to misuse the Service, including by attempting to access it without authorisation, interfering with its operation, reverse-engineering it, or using it to collect data unlawfully.
Recommendations are advisory
The report and the agent's outputs are informational and advisory. They are based on the conversations and material gathered and are intended to support your own decision-making. We do not guarantee any particular result, saving, or outcome, and you remain responsible for decisions you make based on the report.
Intellectual property
We retain all rights in the Service, the agent, the report platform, and our underlying methods and technology. We grant the Client a non-exclusive, non-transferable right to access and use the report for its own internal business purposes. The Client retains its own underlying business information.
Confidentiality
Each party agrees to keep the other's confidential information confidential and to use it only as needed to perform under these Terms.
Disclaimers
The Service is provided "as is" and "as available." To the extent permitted by law, we disclaim implied warranties, including fitness for a particular purpose.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our total liability arising from or in connection with the Service is limited to the fees paid for the engagement giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, and this clause does not affect either party's obligations or liability under the Data Processing Agreement or applicable data protection law.
Term and termination
These Terms apply for the duration of your use of the Service. We may suspend or end access if these Terms are breached. Provisions that by their nature should survive termination (including intellectual property, confidentiality, disclaimers, and limitation of liability) will continue to apply.
Changes
We may update these Terms from time to time. The current version is always available on this page; material changes will be notified where required. Continued use of the Service after an update means you accept the updated Terms.
Governing law
These Terms are governed by the laws of the Republic of Lithuania, and disputes are subject to the courts of the Republic of Lithuania.
Interview participants
If you are an employee interviewed by the agent rather than a Client representative: these Terms govern the Client's use of the Service, not your participation. For how your data is handled, see the Privacy Policy; for questions about why the scan is happening, please contact your employer.
